Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Holisteed platform and services provided by Holisteed Ltd ("Holisteed", "we", "us", "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

1. Definitions

• "Platform" means the Holisteed web application, mobile application, and all related services.
• "User", "you", "your" means any individual or entity that accesses or uses the Platform.
• "Subscription" means the paid plan you have selected to access the Platform.
• "Content" means any data, text, documents, images, or other materials you upload, submit, or create on the Platform.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our services. By using the Platform, you represent and warrant that you meet these requirements.

4. Account Registration

To access the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

5. Subscriptions and Payment

5.1 Plans and Pricing

Access to the Platform is provided on a subscription basis. Current pricing and plan details are available on our website. We reserve the right to change our pricing with 30 days' written notice.

5.2 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will not automatically convert to a paid plan. You will need to actively select and subscribe to a paid plan to continue using the Platform.

5.3 Payment

Subscription fees are payable monthly or annually in advance. All fees are quoted in Euros and are exclusive of VAT, which will be added where applicable. Payment is processed via our third-party payment provider. You authorise us to charge your chosen payment method for recurring subscription fees.

5.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods, except where required by law.

6. Your Content

6.1 Ownership

You retain full ownership of all Content you upload or create on the Platform. We do not claim any intellectual property rights over your Content.

6.2 Licence

By uploading Content to the Platform, you grant us a limited, non-exclusive licence to host, store, process, and display your Content solely for the purpose of providing the Platform services to you.

6.3 Responsibility

You are solely responsible for your Content and for ensuring that it does not violate any applicable law, regulation, or third-party rights. You must not upload Content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.

6.4 Data Export

You may export your Content at any time during your subscription. Upon cancellation, we will make your Content available for export for a period of 30 days, after which it may be deleted.

7. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorised access to the Platform, other users' accounts, or our systems
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use the Platform to transmit malware, viruses, or other harmful code
• Interfere with or disrupt the operation of the Platform
• Share your account credentials with unauthorised persons
• Use automated means to access the Platform without our prior written consent

8. Intellectual Property

The Platform, including its design, features, functionality, code, and branding, is the property of Holisteed Ltd and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform except for the limited right to use it in accordance with these Terms.

9. AI Document Scanner

The Platform includes an AI-powered document scanning feature. While we strive for accuracy, the AI scanner is provided as a tool to assist with data entry and is not a substitute for professional veterinary, legal, or financial advice. You are responsible for reviewing and confirming all data extracted by the scanner before it is saved to your records. We accept no liability for errors in AI-extracted data that you have confirmed and saved.

10. Availability and Support

We will use reasonable endeavours to ensure the Platform is available at all times. However, we do not guarantee uninterrupted access and may need to suspend the Platform for maintenance, updates, or reasons beyond our control. We will endeavour to provide reasonable advance notice of planned downtime. Support is available via email at support@holisteed.com during business hours.

11. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We do not warrant that the Platform will be error-free, secure, or uninterrupted.
• Our total liability to you for any claims arising from or related to these Terms or your use of the Platform shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

12. Indemnification

You agree to indemnify and hold harmless Holisteed Ltd, its directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your Content, or your breach of these Terms.

13. Termination

We may suspend or terminate your access to the Platform immediately if you breach these Terms, fail to pay subscription fees, or if we are required to do so by law. Upon termination, your right to use the Platform ceases immediately. Clauses that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will continue to apply.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Platform at least 30 days before they take effect. Your continued use of the Platform after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform and cancel your subscription.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. General

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Holisteed in relation to your use of the Platform.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: No failure or delay by us in exercising any right under these Terms shall constitute a waiver of that right.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
